By accessing or using Arc ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using Arc on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, do not use the Service.
The Service is provided by Atlantic Data Systems, LLC ("ADS," "we," "us," or "our").
2. Description of Service
Arc is a knowledge capture and documentation platform that ingests conversations and documents, synthesizes them into structured knowledge articles using AI, and routes approved documents to configured destinations. Arc is provided as a hosted, multi-tenant web application.
3. Accounts and Access
3.1 You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
3.2 You must provide accurate information when registering. You may not use Arc for any unlawful purpose or in violation of these Terms.
3.3 We reserve the right to suspend or terminate accounts that violate these Terms, at our sole discretion.
4. Your Content
4.1 You retain all ownership rights to content you submit to Arc ("Your Content"). By submitting content, you grant ADS a limited license to process and store Your Content solely for the purpose of providing the Service.
4.2 You are solely responsible for Your Content. You represent that you have all rights necessary to submit Your Content and that it does not violate any applicable law or third-party rights.
4.3 We do not use Your Content to train AI models or for any purpose beyond providing the Service.
5. Acceptable Use
You agree not to use Arc to:
- Submit content that violates any applicable law or regulation
- Infringe the intellectual property rights of others
- Transmit malware, spam, or malicious code
- Attempt to gain unauthorized access to Arc's systems or other tenants' data
- Reverse engineer or attempt to extract Arc's source code or AI models
6. Service Availability
We will make reasonable efforts to maintain Arc's availability but do not guarantee uninterrupted access. We reserve the right to perform maintenance, updates, or modifications at any time. We are not liable for any interruption or loss of service.
7. Fees and Payment
Access to Arc is provided under the subscription tier your organization has selected. Fees, if applicable, are due as specified at the time of subscription. We reserve the right to modify pricing with 30 days' notice to account administrators.
8. Intellectual Property
Arc, including its software, design, prompts, and documentation, is the intellectual property of Atlantic Data Systems, LLC. These Terms do not grant you any rights to Arc's intellectual property beyond the limited right to use the Service as described herein.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, ADS DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ADS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE THREE MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify and hold harmless ADS and its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorney's fees) arising from your use of the Service, Your Content, or your violation of these Terms.
12. Governing Law
These Terms are governed by the laws of the State of South Carolina, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Greenville County, South Carolina.
13. Changes to Terms
We may update these Terms from time to time. We will notify account administrators of material changes by email at least 14 days before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
